NOVA PRINTS LLC TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between Nova Prints LLC ("Nova Prints," "we," "us," or "our") and you ("Client," "you"). These Terms govern all services, quotes, invoices, orders, and work performed by Nova Prints, whether initiated online, by email, text message, phone, or in person (collectively, the "Services"). By approving a quote, paying an invoice or deposit, submitting files, or otherwise engaging Nova Prints, you acknowledge that you have read, understand, and agree to be bound by these Terms.

2. SERVICES PROVIDED Nova Prints provides custom creative, manufacturing, and design services including, but not limited to: • 3D Printing Services (FDM & Resin) • Prototyping & Research and Development (R&D) • 3D Modeling / CAD Design • 3D Scanning • Laser Engraving & Laser Cutting • CNC Routing • Graphic Design Services • Sticker Printing & Decals • Banners & Large-Format Printing • Embroidery & Apparel Decoration • Finishing & Post-Processing (sanding, assembly, coatings, etc.) All Services are custom unless explicitly stated otherwise in writing. Nova Prints reserves the right to refuse any project that falls outside its capabilities, legal compliance, or ethical standards. 3. PROJECT RESTRICTIONS Nova Prints does not accept projects involving: • Weapons, firearm parts, ammunition, or weapon components • Counterfeit goods, trademarked items, or intellectual property violations • Adult, explicit, or sexual content 4. QUOTES, SCOPE OF WORK, AND APPROVAL 5. Written approval required. Work begins only after written approval of a quote or invoice (email or text acceptable) and payment of any required deposit. 6. Scope of work. Quotes define the materials, quantities, revisions, services, and timelines included. Any work outside the approved scope is billed separately. 7. Changes after approval. Any change to design, size, material, finish, quantity, or deadline after approval may require a revised quote and additional fees. 5. REVISIONS AND ITERATIONS 8. Included revisions. Most projects include 1-2 free rounds of revisions or design changes. 9. Additional revisions. Revisions beyond the included amount are billed at $60/hour per revision or per hour of work. 10. Project-specific terms. Some projects may specify different revision limits in the quote. Review your quote carefully. 6. DEPOSITS, PAYMENTS, AND NO-WORK POLICY 11. Deposits required. A minimum 50% non-refundable deposit is required for most custom orders. 12. Prototyping, rush orders, specialty materials, or first-time clients may require 100% payment upfront. 13. No payment = no work. Nova Prints will not begin design, prototyping, material purchasing, or production without payment. 14. Final payment. Remaining balances must be paid before pickup, shipment, or release of parts/files. 15. Payment processing fees. Any third-party processing fees are non-refundable. 16. Late or unpaid balances. Nova Prints may pause work, withhold delivery, and/or apply reasonable storage fees. 7. RUSH ORDERS & EXPEDITED SERVICES 17. Availability. Rush orders are available based on current workload and project complexity. 18. Premium pricing. Expedited turnaround requires a rush fee in addition to the standard project cost. Rush fees will be specified in the rush quote. 19. Full payment required. Rush orders typically require 100% payment upfront. 20. Timeline not guaranteed. Even rush orders are subject to equipment availability and may be delayed by unforeseen circumstances. 8. PROTOTYPING & R&D SERVICES 21. Iterative process. Prototyping and R&D involve testing, iteration, and refinement. Results are not guaranteed. 22. Payment for work performed. Prototype fees cover time, materials, machine use, and iterations—not a guaranteed final outcome. 23. Included iterations. Quotes specify the number of included prototype iterations. Additional iterations are billed separately. 24. Client-provided components. Functionality dependent on client-supplied components (PCBs, hardware, inserts, etc.) cannot be guaranteed until those components are provided and tested. 25. Handling and testing effects. Damage or warping caused by handling, solvents (including IPA), heat, UV exposure, stress, or improper testing is not considered a defect and may require a paid reprint. 9. CLIENT FILES, DESIGN RESPONSIBILITY, AND TOLERANCES 26. Client responsibility. When providing design files, the Client is responsible for dimensions, tolerances, fitment, structural integrity, and intended function. 27. Tolerance disclosure. Critical tolerances, press-fits, threads, or mating features must be disclosed before quoting. 28. No implied guarantees. Nova Prints does not guarantee fitness, strength, or performance of client-provided designs unless explicitly stated in writing. 10. MATERIALS, COLOR, AND FINISH 29. Material selection. Clients are responsible for final material selection. Recommendations are advisory only. 30. Availability. Materials and colors are subject to supplier availability and may require substitution with notice. 31. Cosmetic variation. Layer lines, surface texture, and minor imperfections are inherent to manufacturing processes unless finishing services are explicitly quoted. 11. TURNAROUND TIMES 32. Estimated timelines. All turnaround times are estimates and may change due to machine availability, failures, curing time, material supply, or workload. 33. Force majeure. Nova Prints is not responsible for delays caused by events beyond reasonable control. 34. Communication. Nova Prints will notify you of any significant delays as soon as possible. 12. SHIPPING, PICKUP, AND RISK OF LOSS 35. Risk transfer. Risk of loss transfers to the Client once items are handed to a carrier or made available for pickup. 36. Shipping insurance. Insurance is recommended for high-value shipments. 37. Carrier responsibility. Nova Prints is not responsible for carrier delays, loss, or damage after shipment. 13. CLIENT-PROVIDED MATERIALS LIABILITY 38. Risk assumption. When clients provide materials, components, or items for integration into projects, the Client assumes all risk of damage, loss, or wear during production and handling. 39. Standard handling. Nova Prints uses standard industry practices for handling materials, but cannot guarantee protection of delicate or sensitive items. 40. Special handling requests. If special handling is required, this must be noted in writing before production begins. 41. Liability exclusion. Nova Prints is not liable for damage to client-provided materials except in cases of gross negligence. 14. RETURNS, REMAKES, AND REFUNDS 42. Custom work non-refundable. Deposits and custom work are non-refundable once work has started. 43. Completed work no-refund policy. Completed custom work cannot be refunded, even if the Client changes their mind or decides not to pick it up. 44. Nova Prints error. If Nova Prints materially deviates from approved specifications, the Client must notify us within 7 days of delivery or pickup. Remedies may include reprint, repair, replacement, or credit at Nova Prints' discretion. 45. Not considered defects: Client file or specification errors; Normal manufacturing variation; Cosmetic imperfections; Post-delivery handling damage; Tolerance issues without disclosed specs 46. Cancellations. If canceled after work begins, the Client is responsible for all costs incurred to date. 15. WARRANTY DISCLAIMER 47. As-is delivery. All products are sold "as-is" without warranty of merchantability, fitness for a particular purpose, or durability. 48. Client use at own risk. Clients use all deliverables at their own risk. Nova Prints is not liable for performance, failure, or damage after delivery. 16. ABANDONED PROJECTS & STORAGE 49. Pause policy. Projects inactive for 14 days may be paused. 50. Abandonment. Projects inactive for 30 days may be deemed abandoned. 51. Storage fees. Completed items not picked up within 14 days may incur storage fees. 52. Disposal. Abandoned items may be disposed of after 60 days without liability. 17. PROJECT VARIATIONS & FILE DELIVERY This section governs the delivery of digital files, design iterations, physical prototypes, and variations created during the project. 53. Client Compensation Structure: Clients pay for Nova Prints LLC's design and modeling labor, time, and expertise. Payment compensates the Company for the work performed —not for ownership of files or design iterations. Files remain proprietary assets of Nova Prints LLC. 54. Final Variation Delivery: Clients receive delivery of the final, approved variation that was paid for. This is the only variation included in the standard project deliverable. 55. Intermediate Variations Retained by Company: All intermediate design iterations, test variations, prototypes, modifications, and versions explored during the design process are retained by Nova Prints LLC as proprietary assets and trade secrets. 56. Access to Previous Variations: If a Client requests delivery of variations other than the final approved version, such variations may be provided for an additional fee as determined by Nova Prints LLC on a case-by-case basis. 57. Destruction of Variations: Clients may request that specific design variations, prototypes, or test prints be destroyed or deleted at no additional cost. Such destruction will occur within 30 days of the written request. 58. File Format and Specifications: Delivered files will be provided in the format(s) specified in the project agreement. Standard formats include digital files (STL, PDF, etc.) or physical prototypes as applicable. Conversion to additional formats may incur additional fees. 59. Long-Term File Storage: Nova Prints LLC will delete customer files 30 days after project completion. Clients are responsible for maintaining their own backups of delivered files. 18. PROPRIETARY PROCESSES & METHODS 60. Trade secrets. Nova Prints retains all rights to its proprietary manufacturing processes, techniques, workflows, material formulations, and methodologies. 61. No replication. Clients may not reverse-engineer, replicate, or independently use Nova Prints' techniques, processes, or methodologies for commercial production. 62. Confidentiality. Information about Nova Prints' processes disclosed during a project is confidential and must not be shared with third parties. 19. INTELLECTUAL PROPERTY 63. Client ownership. Clients retain ownership of submitted designs. 64. License grant. Clients grant Nova Prints a non-exclusive license to manufacture parts for the order. 65. Client representations. Clients confirm they have rights to all submitted content and that no intellectual property infringement is involved. 66. Portfolio use. Nova Prints may photograph and showcase completed work for marketing, portfolio, and website purposes unless the Client opts out in writing before production begins. 20. CONFIDENTIALITY & NDAs 67. No automatic NDA. Information shared without a signed NDA is not considered confidential. 68. NDA availability. Non-disclosure agreements (NDAs) may be signed upon request prior to file submission. 21. SAFETY-CRITICAL USE DISCLAIMER Unless explicitly agreed in writing, Nova Prints products are not certified for medical, life-safety, aerospace, automotive safety-critical, or load-bearing applications. The Client assumes responsibility for compliance and testing. 22. DISPUTE RESOLUTION 69. Mediation and Arbitration. Any disputes arising from this agreement shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in San Antonio, Texas, rather than court litigation. 70. Arbitration costs. Each party bears its own attorney fees and arbitration costs unless determined otherwise by the arbitrator. 71. Notice requirements. Either party must provide written notice of a dispute within 30 days of the incident giving rise to the claim. 23. CHARGEBACKS & DISPUTES 72. Chargebacks or payment disputes for legitimate services may result in service suspension, restricted payment methods, and recovery of dispute-related costs where permitted by law. 24. CLIENT OFF-BOARDING & PROJECT TERMINATION This section governs the process for clients who wish to end their relationship with Nova Prints LLC and retrieve their materials, projects, and files. 73. Off-Boarding Request Process: A Client may request off-boarding by notifying Nova Prints LLC in writing via email or official communication channels. The Company will acknowledge the request and begin the off-boarding process immediately. 74. Off-Boarding Fees: No off-boarding fee is charged for terminating the Client relationship. Off-boarding is provided as a standard service. 75. Outstanding Balance Requirements: All outstanding project balances must be paid in full before materials, files, and deliverables are released to the Client. No exceptions are made for off-boarding requests. 76. File and Material Gathering: Nova Prints LLC will gather all digital files, design documentation, physical prototypes, test prints, and materials associated with the Client's projects. This process typically takes 5-10 business days. 77. Shipping and Delivery: All physical materials and items will be packaged securely and mailed to the Client at no shipping cost. Standard ground shipping is used unless expedited shipping is requested (at Client expense). 78. Delivery Timeline: All off-boarding materials will be shipped within 10 business days of the off-boarding request, provided all outstanding balances have been paid. 79. File Delivery Policy: Only the final, approved design variations paid for by the Client will be delivered. Intermediate variations, design iterations, and prototypes created during the design process are retained by Nova Prints LLC as proprietary assets. Clients may request specific variations be delivered for an additional fee, as determined on a caseby-case basis. 80. Confirmation of Delivery: Once materials have been shipped, the Client will receive tracking information. The Company is not responsible for loss or damage during shipping once the package leaves our facility. 25. LIMITATION OF LIABILITY 81. To the fullest extent permitted by law, Nova Prints shall not be liable for indirect, incidental, or consequential damages. Total liability is limited to the amount paid for the specific service giving rise to the claim. 26. INDEMNIFICATION 82. The Client agrees to indemnify and hold Nova Prints harmless from claims arising from client-provided designs, misuse, improper installation, intellectual property infringement, or end-use application. 27. GOVERNING LAW 83. These Terms are governed by the laws of the State of Texas, with venue in Bexar County, Texas. 28. CHANGES TO TERMS 84. Nova Prints may update these Terms at any time. Updated Terms apply to new orders and future services. 29. ACCEPTANCE By approving a quote, submitting files, or making payment, you confirm acceptance of these Terms of Service.
